Overview

Nexus–the level of connection your business has with a taxing jurisdiction–is the most critical concept in sales tax. Without nexus, a taxing jurisdiction cannot impose its sales taxes on you.

Here we are, six years since the economic nexus changes began, seeing major sales tax legislative changes. We are seeing major impacts come to fruition before our eyes, from states dropping their transaction count thresholds, to Streamlined Sales Tax updating taking positions on best practices as well as providing guidance on nuances, to ongoing litigation of high-profile cases like Wayfair (again), Pet Meds and Coast to Coast.

The U.S. Supreme Court decision in South Dakota v. Wayfair and its lasting impacts have been a game changer for every business making sales. Will the Federal Congress get involved in the economic nexus “game”? The Senate Finance Committee held a hearing discussing the burden the Wayfair decision through state legislation places on small sellers in June of 2022 where our own Diane Yetter provided testimony about the challenges businesses face in determining what the specific rule is that applies in each state. The Government Accounting Office (GAO) in their report published late 2022 reinforced the complexity and resulting burdens. But nothing has happened since then federally.

However, states continue to fine-tune previously passed nexus legislation and rules, especially due to the interplay between economic, marketplace, or marketplace facilitator rules, and physical nexus. Modifications to economic nexus thresholds, rules about including/excluding marketplace sales, and new implications for where you have inventory are just a few of the changes that have popped up post-Wayfair for multistate sellers to deal with.  South Dakota started a trend in 2023 in recognizing the burden that the 200 transaction count threshold places on the smallest of sellers. South Dakota dropped their transaction count threshold July 1, 2023 followed by Louisiana effective August 1, 2023, Indiana effective January 1, 2024 and Wyoming on July 1, 2024. North Carolina has legislation pending which if passes is effective July 1, 2024.

The strategies and systems you have in place to manage sales tax must be able to handle continual change in the sales tax landscape and changes in your business. This is especially important as states are getting more aggressive in their enforcement of nexus laws through audits. You cannot assume that you can fly under the radar any longer.
